Terms of Service

1. The Service

NiryatBooks provides accounting and operations software for exporters and businesses — invoicing, documents, payments, reports and related tools. It is available on the web and via our mobile (iOS and Android) and desktop (Windows and macOS) apps. We may add, change or remove features over time. The Service is currently offered free while in beta / early access (see section 9).

2. Eligibility & accounts

By creating an account you confirm that you are at least 18, are authorised to act for the business you register, and accept these Terms and our Privacy Policy. Accounts are created by self-serve signup and require email verification before your workspace is set up. We record your acceptance of these Terms, together with their version, at signup.

You are responsible for your own login credentials and for all activity under your login. Each person should sign in with their own individual login. Tell us promptly at support@niryatbooks.com of any unauthorised access.

3. Organisations & team members

Signing up creates one organisation (your workspace), and you become its administrator. Self-serve signup does not create additional organisations.

As an administrator you can invite team members by email and assign each a role — administrator, manager or viewer — and control what non-administrators can do through per-member permissions. Each member signs in with their own login. If you are an administrator, you are responsible for the members you invite, the roles and permissions you grant them, and any third-party apps you authorise for your organisation (see section 6).

Each organisation's data is isolated at the database level by Row-Level Security, so that by design one organisation's data is not accessible to another. As explained in section 12 and our Privacy Policy (section 9), no system is perfectly secure and we do not promise absolute security.

4. Your data and content

You own the data and content you put into NiryatBooks. You grant us the limited rights needed to host, process, back up and transmit it to provide and support the Service, including sending content to the sub-processors and AI providers named in our Privacy Policy. These rights exist only to run the Service: we do not sell your data, we do not use it for advertising, and the AI providers we use do not use your content to train their models.

For personal data you enter about other people — your buyers, suppliers and contacts — you are the data fiduciary under the DPDP Act and we process that data on your behalf, as explained in our Privacy Policy. For that data, NiryatBooks acts as your data processor and processes it only on your documented instructions to provide the Service; these Terms, together with our Privacy Policy, constitute the contract required under the DPDP Act between you (as data fiduciary) and us (as your data processor). You are responsible for having a lawful basis to hold that data, for its accuracy and lawfulness, and for how you use the documents the Service generates. (For your own account data, NiryatBooks is the data fiduciary.)

You can export a full copy of your data at any time from Settings → Backup — a ZIP of your records and files — and export individual lists as CSV from within the app. There is no lock-in. To delete your data or close your account, email support@niryatbooks.com; deletion is currently a request-based process, not a self-serve button, and we will action it within a reasonable period, subject to the legal retention rules in our Privacy Policy (see also section 14).

How we handle, retain and delete your data, and your rights under the DPDP Act, are governed by our Privacy Policy. If these Terms and the Privacy Policy ever conflict on a data-handling matter, the Privacy Policy controls.

5. Where your data is processed

Your primary business data is hosted in India (Supabase, Mumbai ap-south-1). The application itself runs on Netlify, outside India, and AI features send content to Google (Gemini) as primary and Anthropic (Claude) as fallback, both in the United States. This is described in full, with the current list of sub-processors, in our Privacy Policy.

6. Integrations & connected apps

You may connect third-party applications or AI agents to your organisation through our authorization (OAuth) flow — for example an external AI connector. You control what you connect, you are responsible for the actions any app you authorise takes under your access, and only an authorised member of your organisation should grant such access. You can review and revoke the access tokens and connections for your organisation at any time in Settings → MCP.

7. AI features

Some features use AI and send your content to third-party AI providers. Our primary AI provider is Google (Gemini), with Anthropic (Claude) as an automatic fallback; both are used under paid commercial terms under which they do not use your content to train their models. The providers and the data each receives are listed in our Privacy Policy (sections 6 and 7). The active provider is a configurable setting we may change — we will update the Privacy Policy before we do.

AI output — extractions from scanned bills and scheme letters, figures, chat answers and RFQ parsing — may be inaccurate or incomplete. You must review and verify AI output before saving it into your books or relying on it, and you remain responsible for the correctness of your records.

Our action-capable assistants — the mobile AI dock and the web AI Workspace — can, at your direction, read and write your own organisation's accounting data (for example invoices, payments, contacts and journal entries) through secure, organisation-scoped tools. They only ever act within your own organisation. You are responsible for reviewing any records an assistant creates or changes.

AI-generated answers, summaries and suggestions are informational only and are not professional advice (see section 10).

8. Acceptable use

Do not use the Service unlawfully. Do not attempt to access, probe, or interfere with another organisation's data or our tenant-isolation controls; do not circumvent the role and permission limits set by your organisation's administrator; do not abuse our API or app-authorization (OAuth) endpoints; do not place unreasonable load on, scrape, or disrupt the Service; do not reverse-engineer or resell the Service; and do not upload malware or infringing content.

9. Fees & beta status

The Service is currently free to use. NiryatBooks does not collect any payment or card details today and has no payment processor connected (see our Privacy Policy, section 12).

The Service is offered free while in beta / early access. Features may change, be limited, be added or be withdrawn; the Service may contain errors or experience downtime; and we may modify or discontinue all or part of it, with reasonable notice for material changes. You can export your data at any time (see section 4).

If and when we introduce paid plans, payment will be handled by a reputable third-party processor, we will not store full card numbers, and we will update these Terms and our Privacy Policy to name the processor before billing goes live. Fees (plus GST and any other applicable taxes) will then be payable as described at that time and, unless stated otherwise, are non-refundable. We will communicate any pricing in advance in the app or by email, and continued use after a paid plan starts for you will constitute acceptance (see section 16) — you will never be charged silently during beta.

10. Not professional advice

NiryatBooks is a tool to help you record and produce business documents. It is not accounting, tax, legal or financial advice, and neither are the answers, summaries and suggestions produced by its AI features — these are informational only and may be wrong. You are responsible for verifying your figures, filings (GST, customs, etc.) and compliance — ideally with a qualified professional.

11. Availability

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance or suspend the Service when needed.

12. Disclaimers & limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent permitted by law — including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any document, figure, calculation, or AI-generated output it produces is accurate or complete; you are responsible for verifying these (see sections 7 and 10).

The AI assistants act only at your direction and only within your own organisation. You are responsible for reviewing and confirming any records an assistant creates, changes or removes on your instruction, and we are not liable for records changed by an assistant acting on your instructions within your own organisation.

NiryatBooks relies on third-party providers (hosting, database, email, AI, and the others listed in our Privacy Policy; our AI providers and all sub-processors are named there, in sections 6 and 7). We are not liable for any loss, delay, corruption, unavailability, or unauthorised access to data caused by those providers or by events beyond our reasonable control — including outages, network failures, force majeure, or third-party security incidents.

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue, goodwill or business, arising out of or relating to the Service — even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim (or ₹1,000 if you paid nothing). Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct or your rights as a Data Principal under the DPDP Act. You are responsible for keeping your own backups (Settings → Backup).

13. Indemnity

You agree to indemnify and hold harmless Rajdhani Telecom (operating NiryatBooks), including its proprietor and personnel, from and against any claims, damages, losses, liabilities and reasonable expenses (including legal fees) arising out of or relating to: your data, content and use of the Service; the personal data you enter about your customers, suppliers or other third parties, and your lawful basis for holding it; the team members and third-party apps you authorise for your organisation; your documents, filings, figures and tax or regulatory compliance; your breach of these Terms or of any law; or your infringement of any third party's rights.

14. Termination, closure & data retention

You may stop using the Service at any time. To close your account and have your data deleted, email support@niryatbooks.com — this is currently handled by our team; there is no self-serve close button. We may suspend or terminate access if you breach these Terms or to protect the Service.

While your account is active you can export your data at any time (Settings → Backup and CSV exports). If we suspend or terminate your account, you may no longer be able to sign in to self-export; in that case you can request a copy of your data by emailing support@niryatbooks.com, which we will provide within a reasonable period unless the law requires otherwise.

After closure we may delete your data within a reasonable period. Some records are first soft-deleted and then removed, and our backups are cleared as part of deletion. Accounting, tax and GST records may be retained for several years where Indian law requires, even after closure. Deletion and retention are governed by our Privacy Policy (sections 10 and 11).

15. Governing law

These Terms are governed by the law of India. Subject to applicable law, the competent courts in India shall have exclusive jurisdiction over any dispute.

16. Changes to these Terms

We may update these Terms. We will update the date above and, for material changes, notify you in the app or by email. Your acceptance is recorded with the version of the Terms you agreed to, and a material change may require you to accept the updated Terms again. For material changes we will give reasonable advance notice; if you do not accept them you may stop using and close your account before they take effect, and you can export your data first (section 4). Continued use after an update means you accept the updated Terms.

17. General

• Severability: if any provision of these Terms is held unenforceable, it is severed and the remaining provisions stay in force.
• Entire agreement: these Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service.
• Assignment: you may not assign these Terms without our consent; we may assign them in connection with a sale or transfer of the business that operates NiryatBooks.
• Survival: sections 4, 9 (as to any accrued fees), 10, 12, 13, 14 and 15 continue to apply after these Terms end.
